1. Agreement to Terms
These Terms of Service ("Terms") govern your access to and use of the Blue Banyan website and any related content, materials, or services made available through it (collectively, the "Site"). These Terms form a legally binding agreement between you, whether acting personally or on behalf of an entity ("you"), and Blue Banyan Pte. Ltd. ("Blue Banyan", "we", "us", or "our").
By accessing or using the Site, you confirm that you have read, understood, and agree to be bound by these Terms. If you do not agree, you must not access or use the Site.
We may update these Terms from time to time. Any changes take effect when posted. Your continued use of the Site after changes are posted constitutes acceptance of the revised Terms.

Any advisory, consulting, or professional services provided by Blue Banyan are governed solely by separate written agreements.
5. User Conduct
You agree not to misuse the Site. In particular, you must not:
Access or use the Site for unlawful, misleading, or unauthorised purposes;
Copy, scrape, harvest, or systematically extract content or data from the Site;
Interfere with or disrupt the operation or security of the Site;
Use the Site in a manner that infringes the rights of Blue Banyan or any third party;

6. Submissions
Unless otherwise expressly agreed in writing, including through a mutually executed non-disclosure agreement (NDA), any ideas, feedback, proposals, materials, or other information you submit to Blue Banyan are provided on a non-confidential basis.
You grant Blue Banyan a perpetual, irrevocable, royalty-free, and non-exclusive right to use, reproduce, adapt, and incorporate such submissions for any lawful purpose, without compensation or attribution.
7. Availability and Site Management
We may modify, suspend, or discontinue any part of the Site at any time without notice. We do not guarantee uninterrupted availability of the Site and are not liable for any interruption, delay, or unavailability.
We reserve the right to restrict or terminate access to the Site if we reasonably believe these Terms have been violated.
8. Privacy
Your use of the Site is subject to our Privacy Policy, which explains how we collect and use personal data. The Privacy Policy forms part of these Terms.
9. Disclaimer of Warranties
The Site and all Content are provided on an "as is" and "as available" basis. To the fullest extent permitted by law, Blue Banyan disclaims all warranties, whether express or implied, including warranties of accuracy, fitness for a particular purpose, and non-infringement.
10. Limitation of Liability
To the maximum extent permitted by law, Blue Banyan shall not be liable for any indirect, incidental, consequential, or special damages arising out of or in connection with your use of the Site.
11. Indemnification
You agree to indemnify and hold harmless Blue Banyan, its directors, officers, employees, and affiliates from any claims, losses, or liabilities arising out of your breach of these Terms or misuse of the Site.
12. Governing Law and Jurisdiction
These Terms are governed by and construed in accordance with the laws of the Republic of Singapore. You agree to submit to the exclusive jurisdiction of the courts of Singapore in relation to any dispute arising from or in connection with these Terms or the Site.
13. Severability and Entire Agreement
If any provision of these Terms is held to be unenforceable, the remaining provisions will continue in full force. These Terms constitute the entire agreement between you and Blue Banyan regarding use of the Site.
